1. Acceptance of Terms

By accessing and using Try Local Gresham ("the Platform"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

2. Description of Service

Try Local Gresham is a digital marketplace platform that connects local residents with local businesses and services in Gresham, Oregon. We provide a platform for:

• Customers to discover and support local businesses
• Businesses to create profiles and list their products/services
• Facilitating transactions between customers and businesses
• Appointment scheduling and delivery coordination

3. User Accounts

Eligibility

You must be at least 18 years old and able to enter into a binding contract under the laws of your jurisdiction to create an account or make a purchase on Try Local Gresham. By creating an account, you confirm that you meet this requirement. We do not knowingly allow accounts for anyone under 18; if we learn that an account holder is under 18, we may suspend or remove the account.

Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Account Types

• Customer Accounts: Free access to browse and purchase
• Business Accounts: Access to list products and services. A free tier is available; paid subscription tiers unlock additional placement and features.

4. Business Subscriptions

Subscription Plans

Businesses may subscribe to our platform with the following terms:

• Subscriptions are billed monthly or annually depending on the plan you choose
• Subscriptions automatically renew at the end of each billing period at the then-current rate until you cancel. You can cancel anytime from your dashboard; cancellation stops future renewals and takes effect at the end of the current paid period
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice
• Paid features remain available only while a subscription is active

Business Approval

All business listings require administrative approval before going live. We reserve the right to reject or remove any business listing that violates these terms or our community standards.

5. Transactions and Payments

Platform Fee

Try Local Gresham deducts a 2% platform fee from each transaction. The fee is taken from the seller's payout — customers pay only the listed price plus any taxes. Stripe's payment processing fees also apply and are paid by the seller.

Payment Processing

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's Terms of Service. We do not store your payment card information.

Refunds and Cancellations

Refund and cancellation policies are set by individual businesses. Try Local Gresham is not responsible for disputes between customers and businesses, but we will facilitate communication and resolution when possible. 6. User Conduct

Acceptable Use

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Post false, misleading, or fraudulent content
• Impersonate any person, business, or entity
• Harass, abuse, threaten, or harm other users
• Post content that is defamatory, obscene, hateful, or that exploits or endangers minors
• Attempt to gain unauthorized access to the Platform
• Use automated systems (bots, scrapers) without permission
• Interfere with the proper functioning of the Platform
• Engage in any form of spam or unsolicited marketing

Prohibited Goods and Services

Try Local Gresham may not be used to sell, list, or facilitate the sale of:

• Cannabis and cannabis-derived products, including products legal under Oregon law — our payment processor (Stripe) prohibits these transactions, and listing them puts the platform's payment processing at risk for every business
• Alcohol, tobacco, vaping products, and other age-restricted goods (unless we explicitly enable a verified category for your business)
• Firearms, ammunition, explosives, and other regulated weapons
• Controlled substances, prescription drugs, and counterfeit pharmaceuticals
• Illegal goods or services of any kind under federal, Oregon, or local law
• Counterfeit, stolen, or infringing goods
• Adult or sexually explicit content or services
• Gambling, lotteries, or other regulated games of chance
• Live animals (other than verified, licensed adoption services)
• Anything that violates our payment processor's terms of service, which can cause the platform to lose payment processing for every other business

We may remove any listing in violation of this section without notice, and repeated violations will result in account termination.

7. Content and Intellectual Property

User Content

You retain ownership of content you post, but grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content on the Platform.

Platform Content

All Platform content, including design, logos, text, and graphics, is owned by Try Local Gresham and protected by copyright and trademark laws.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

• Uninterrupted or error-free operation
• Accuracy or reliability of content
• Quality of products or services from businesses
• Results or outcomes from using the Platform

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRY LOCAL GRESHAM SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Disputes between customers and businesses
• Third-party actions or content

Our total liability shall not exceed the fees you paid in the past 12 months or $100, whichever is greater.

10. Termination

By You

You may close your account at any time from your account settings. Closing your account stops future subscription renewals but does not refund any fees already charged. Past orders remain in our records as required by law and as set out in our Privacy Policy.

By Us

We may suspend or terminate your account for a material violation of these Terms, including the Prohibited Goods list, fraudulent activity, repeated chargebacks, or conduct that endangers other users or the Platform. Except where immediate action is necessary to protect users or the Platform, we will provide reasonable notice and an opportunity to cure the issue before terminating a paid business account.

Upon termination:

• Your right to use the Platform ends immediately
• We may delete your account and content after a 30-day grace period
• Any pending refunds, payouts, or transfers will be processed according to our normal payment timelines
• Provisions that by their nature should survive termination (intellectual property rights, indemnification, limitation of liability, governing law) will remain in effect

11. Indemnification

You agree to defend, indemnify, and hold harmless Try Local Gresham, its operators, and its affiliates from any claim, demand, loss, liability, damage, or expense (including reasonable attorney's fees) arising from or related to:

• Your use of the Platform
• Content you post, upload, or transmit through the Platform
• Goods or services you sell or purchase through the Platform
• Your breach of these Terms or any rights of another
• Your violation of any applicable law or regulation

We may, at our option and expense, assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of the claim.

12. Copyright & DMCA Complaints

Try Local Gresham respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on the Platform infringes your copyright, please send a written notice to our designated agent containing:

• An electronic or physical signature of the copyright owner or authorised agent
• Identification of the copyrighted work claimed to be infringed
• Identification of the material claimed to be infringing, with enough detail for us to find it (URL, business name, listing title)
• Your contact information (address, telephone, email)
• A statement, under penalty of perjury, that you have a good-faith belief the use is not authorised by the copyright owner, its agent, or the law
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorised to act on the owner's behalf

We will remove or disable access to infringing material upon receiving a valid notice. Repeat infringers will have their accounts terminated. If you believe content was removed in error, you may submit a counter-notice to the same address.

13. Governing Law

These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict-of-laws principles. Any disputes arising from these Terms or your use of the Platform will be resolved exclusively in the state or federal courts located in Multnomah County, Oregon, and you consent to personal jurisdiction in those courts.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the new Terms.
